1. Acceptance of Terms

By accessing or using the Viral Day platform (hereinafter, "Platform" or "Service"), you agree to be bound by these Terms of Service. If you do not agree with any of these terms, please do not use the Platform.

2. Platform Description

The Viral Day Platform, operated by VIRAL DAY LLC, is an AI-powered video editing platform that helps users create engaging short-form content from longer videos using advanced facial recognition and audio transcription technologies.

2.1 Planes, Créditos y Marca de Agua

La eliminación de la marca de agua de los clips exportados es un beneficio exclusivo de los planes de pago activos. Mientras el usuario mantenga un plan activo, los clips exportados no contendrán la marca de agua de la Plataforma.

Los créditos representan únicamente la capacidad de generar y procesar clips. Poseer o comprar créditos, por sí solo, no elimina la marca de agua y no sustituye la necesidad de un plan activo. Si el usuario posee créditos pero no tiene ningún plan de pago activo, los clips exportados seguirán mostrando la marca de agua de la Plataforma.

En caso de cancelación, vencimiento o suspensión del plan, el beneficio de eliminación de la marca de agua finaliza, aunque el usuario mantenga créditos disponibles.

3. Intellectual Property

All intellectual property rights related to the Platform, including but not limited to software, algorithms, trademarks, logos, designs, and functionalities, belong to VIRAL DAY LLC or its licensors. Users retain ownership of their original content but grant us necessary rights to process and improve our services.

4. Usage Rules

Users agree to:

Use the Platform lawfully and ethically
Not upload content that violates copyright, privacy rights, or contains illegal material
Not attempt to reverse engineer, hack, or disrupt the Platform
Not create content that is defamatory, hateful, or violates our community guidelines
Respect other users and maintain a positive community environment
Take responsibility for actions performed on the Platform by AI apps you connect to your account (for example, via the MCP server), including clip creation and the resulting credit consumption: those actions are deemed performed by you and are your responsibility

5. Artificial Intelligence

Our platform uses artificial intelligence models for facial recognition and audio transcription, which are in constant improvement process.

By uploading a video to the platform, you agree to:

Allow facial data extracted from the video (including facial tracking vectors) to be used anonymously to train and improve our AI models
Contribute to the improvement of our speech recognition and transcription models
Authorize the use of vectorial representations derived from 3D facial tracking for research, development, and improvement purposes of the services offered by the platform;

Note: No personal data, names, civil identity, or any information that allows direct identification of the individual is stored or linked to facial vectors. By using our services, the user acknowledges that they have no rights over the vectors derived from facial tracking used for system improvement purposes.

6. YouTube Integration

6.1 Authorization of Access

By connecting your YouTube account to our Platform, you expressly authorize VIRAL DAY LLC to:

Publish videos: Upload content created on our Platform directly to your YouTube channel
Manage published videos: Edit, update, or delete only videos that were published through our Platform
Access basic information: Obtain your channel data such as name, ID, and statistics for videos published through our Platform

6.2 Limitations and Restrictions

Our Platform can ONLY manage videos that were originally published through our services
We do NOT have access to or ability to modify videos you published directly on YouTube through other means
You maintain full control and ownership of your channel and can revoke these permissions at any time

6.3 User Responsibilities

By using YouTube integration, you agree to:

Ensure you have all necessary rights to the content being published
Comply with YouTube Community Guidelines and YouTube Terms of Service
Not use our Platform to publish content that violates copyrights or YouTube policies
Accept that you are solely responsible for content published on your channel

6.4 YouTube Compliance

Our integration is in full compliance with:

YouTube API Services Terms of Service
YouTube Developer Policies
YouTube Privacy Guidelines

Important: You can disconnect your YouTube account at any time through your account settings on our Platform.

7. TikTok Integration

7.1 Authorization of Access

By connecting your TikTok account to our Platform, you expressly authorize VIRAL DAY LLC to:

Publish videos: Upload content created on our Platform directly to your TikTok profile
Manage published videos: Edit, update, or delete only videos that were published through our Platform
Access basic information: Obtain your profile data such as username, ID, and statistics for videos published through our Platform

7.2 Limitations and Restrictions

Our Platform can ONLY manage videos that were originally published through our services
We do NOT have access to or ability to modify videos you published directly on TikTok through other means
You maintain full control and ownership of your profile and can revoke these permissions at any time

7.3 User Responsibilities

By using TikTok integration, you agree to:

Ensure you have all necessary rights to the content being published
Comply with TikTok Community Guidelines and TikTok Terms of Service
Not use our Platform to publish content that violates copyrights or TikTok policies
Accept that you are solely responsible for content published on your profile

7.4 TikTok Compliance

Our integration is in full compliance with:

TikTok Terms of Service
TikTok Developer Policies
TikTok Privacy Guidelines

Important: You can disconnect your TikTok account at any time through your account settings on our Platform.

8. Instagram Reels Integration

8.1 Authorization of Access

By connecting your Instagram account to our Platform, you expressly authorize VIRAL DAY LLC to:

Publish Reels: Upload content created on our Platform directly as Instagram Reels to your profile
Manage published Reels: Edit, update, or delete only Reels that were published through our Platform
Access basic information: Obtain your profile data such as username, ID, and statistics for Reels published through our Platform

8.2 Limitations and Restrictions

Our Platform can ONLY manage Reels that were originally published through our services
We do NOT have access to or ability to modify content you published directly on Instagram through other means
You maintain full control and ownership of your profile and can revoke these permissions at any time

8.3 User Responsibilities

By using Instagram integration, you agree to:

Ensure you have all necessary rights to the content being published
Comply with Instagram Community Guidelines and Instagram Terms of Service
Not use our Platform to publish content that violates copyrights or Instagram policies
Accept that you are solely responsible for content published on your profile

8.4 Instagram Compliance

Our integration is in full compliance with:

Instagram Terms of Service
Instagram API Terms of Service
Meta/Facebook Developer Policies
Instagram Privacy Guidelines

Important: You can disconnect your Instagram account at any time through your account settings on our Platform.

9. Limitation of Liability

The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, VIRAL DAY LLC disclaims all liability for:

Any damages arising from use of the Platform
Loss of content or data
Service interruptions or technical issues
Third-party actions or content

10. Terms Changes

VIRAL DAY LLC may modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use after changes constitutes acceptance of the modified terms.

11. Política de Privacidad

El uso de datos personales por la Plataforma se rige por nuestra Política de Privacidad, que debe leerse junto con estos Términos de Uso.

Al crear una cuenta, marcar la casilla de aceptación y completar el registro, el usuario declara haber leído y conocer la Política de Privacidad, incluido que la infraestructura de datos de la Plataforma se encuentra en Estados Unidos y que los archivos de video enviados pueden tratarse por hasta 60 (sesenta) días en China, Taiwán y Japón, según se detalla en la Política de Privacidad.

12. Termination

VIRAL DAY LLC reserves the right to suspend or terminate user accounts for violations of these Terms, illegal activities, or behavior harmful to our community, with or without prior notice.

13. User Blocking

We may implement temporary or permanent restrictions on accounts that violate our Terms or negatively impact the Platform experience for other users.

14. Governing Law and Disputes

These Terms are governed by the laws of Delaware, United States. Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules, conducted in Delaware.
